Andy Douglass is a partner in the law firm of Morrison Mahoney LLP, a 150-lawyer firm, which has offices in New York, London, Boston and throughout New England and represents clients in regulatory, corporate, organizational and financial transactions for insurers, agents, brokers, banks and holding companies throughout the world. He is admitted to practice in Massachusetts, New York, Illinois and Rhode Island. He has been a member of the bar of the U.S. Supreme Court for over 25 years. He has spoken at numerous industry seminars on such topics as mergers and acquisitions and securitization of risks.
Prior to joining Morrison Mahoney LLP, Andy was Senior Vice President and General Counsel for The St. Paul Companies, Inc. While at The St. Paul, Andy represented The St. Paul in all of its securities transactions, plus numerous acquisitions and divestitures, and the development of the organizational and incentive structure for St. Paul Venture Capital (one of the nation’s largest private venture firms). He represented St. Paul Re in the industry's first securitization transaction. He was rated "a" "v" (highest ratings in professional abilities and ethics) in the Martindale-Hubbell Law Directory. In addition, Andy was a director of John Nuveen Company, Inc. a NYSE - listed fund manager with about $40 billion in assets under management.
Prior to joining The St. Paul, Andy was Executive Vice President and General Counsel of Heller International Corporation, a large commercial financial institution based in Chicago with affiliates around the world and an affiliate of a large foreign bank regulated under the Bank Holding Company Act. He also was a voting member of Heller’s Executive Credit Committee. Heller specialized in leveraged buyouts, venture investments and mezzanine financings. It was also the world's largest discounter of commercial receivables, which it securitized under Andy's supervision. Andy represented Heller in all of its securities transactions and regulatory matters, plus two dozen acquisitions. Prior to that, he was Senior Vice President and General Counsel of RIHT Financial Corporation (parent of Rhode Island Hospital Trust, now part of FleetBoston) and was also the first president of its mortgage banking subsidiary. Andy began his career at Sullivan & Cromwell, specializing in securities transactions, eurodollar financings, mergers and acquisitions.
Andy has served on the Council of Chief Legal Officers and on the Lawyers’ Committee of both the American Insurance Association and the Association of Bank Holding Companies. He also served as a member of the AIA’s Financial Modernization Task Force and was an alternate to its Board of Directors. He has spoken at numerous industry seminars on such topics as mergers and acquisitions and securitization of risks.
Born in New York in 1943, Andy graduated from the U.S. Naval Academy in 1964 with distinction. He holds the Navy Commendation Medal with a combat "V". He has an MBA and a law degree from Stanford, where he was a Note Editor on the Law Review.
