
Matthew W. Henning
Matthew W. Henning is a Partner in the Boston office of Morrison Mahoney LLP. Matthew is a member of the Commercial and Business Practice Group, and has represented clients in corporate law matters including mergers and acquisitions, executive compensation and employment disputes, director and officer liability, and regulatory compliance. Representative engagements include:
- Counsel for minority and woman-owned toner cartridge remanufacturing company recently named the 2007 Emerging Company of the Year by Black Enterprise Magazine.
- Represented the United States subsidiary of a Finnish public company in the acquisition of all of the outstanding stock of a major Massachusetts manufacturer of meteorological instruments and equipment.
He is also a member of the Complex Insurance and Reinsurance Practice Group and has represented clients in coverage disputes arising out of underlying environmental, products, worker’s compensation carve-out and pharmaceutical liabilities. Matthew’s reinsurance practice has included advising clients concerning the drafting and interpretation of reinsurance certificates and contracts; reinsurance arbitration and litigation on behalf of both reinsurers and cedents; and counseling clients with respect to underwriting, audit and accounting disputes. Representative engagements include:
- Representation of major reinsurer in federal court action defending against claims of fraud and c.93A violations with respect to reinsurance facility arrangement and $70 million reinsurance commutation. Obtained dismissal of case based upon briefing of complex jurisdictional issues relating to the arbitrability of the claims.
- Successful negotiation of a global settlement by and among our clients, a major United States insurer and a Bermuda closed cell captive reinsurance company. The dispute arose out of third party claims administration, agency authority, captive reinsurance, and profit sharing arrangements.
Prior to joining Morrison Mahoney, Matthew was an attorney with the Corporate Department of the law firm of Goldstein & Manello in Boston, MA.
Matthew is admitted to the bar of the Commonwealth of Massachusetts, the United States District Court for the District of Massachusetts, and the U.S. Supreme Court. He is a member of the Association for Corporate Growth, the ALFA (Global Legal Network) Business Litigation Steering Committee and the Massachusetts Bar Association.
Matthew is a graduate of Providence College (B.A., magna cum laude) and Boston College Law School (J.D.), where he was a Staff Writer (1997-1998) and Productions Editor (1998-1999) of the
International and Comparative Law Review. Matthew was also the author of “Extradition Controversies: How Enthusiastic Prosecutions Can Lead to International Incidents,” 22 BCICLR 347 (Spring, 1999).
